# Hedge accounting documentation and effectiveness support under ASC 815 and IFRS 9

Canonical: https://finbryn.com/us/services/credit-loss-derivatives-fair-value/hedge-accounting-asc-815-ifrs-9

Finbryn provides hedge accounting support for companies with an interest rate swap or FX forward, drafting the ASC 815 designation memo, effectiveness assessments and journal entries for management to adopt (ASU 2025-09, issued November 2025, takes effect for private companies in annual periods beginning after December 15, 2027). Management decides whether to hedge; the auditor tests the documentation.

A company that borrows at a floating rate and swaps to fixed has two accounting paths. Without hedge accounting, the swap is carried at fair value and every change runs through earnings, so interest expense swings with the forward curve. With a cash flow hedge, the change in the swap's fair value goes to other comprehensive income and moves to interest expense as the hedged interest payments occur. The price of the smoother result is paperwork, and the paperwork has a deadline: ASC 815-20-25-3 requires formal designation and documentation, and IFRS 9 paragraph 6.4.1(b) requires the same at inception.

Private companies have two reliefs. The simplified hedge accounting approach (ASU 2014-03, now in ASC 815-20-25-133 to 25-138) lets a qualifying receive-variable, pay-fixed swap be treated as having no ineffectiveness and lets all of the documentation wait until the first annual financial statements are available to be issued. A swap that does not qualify can still use the timing relief added by ASU 2017-12: the relationship, instrument, hedged item and risk are documented at inception, and the effectiveness method and assessments can follow before the next financial statements are available to be issued.

Finbryn tests the swap against the conditions, writes the designation memo, calendars the documentation deadline, builds the effectiveness and journal schedules and drafts the disclosures. Management decides whether to hedge, chooses the counterparty, signs the trade and adopts the accounting conclusion. Finbryn does not advise on whether to hedge, does not execute trades and does not sign the designation on management's behalf.

What you get: Eligibility check for the simplified hedge accounting approach, condition by condition; Hedge designation memo with the documentation deadline calendared; Effectiveness assessment and quarterly refresh schedules; Cash flow hedge journal entries and the OCI reclassification schedule; Draft derivative and hedging disclosures for management to review

## Can a private company use hedge accounting for an interest rate swap?

Yes, when the swap qualifies as a hedging instrument, the hedged item is eligible and the documentation exists on time. There are three outcomes, and the first job is to place the swap in one of them.

1. **Simplified approach.** Available to a private company that is not a financial institution, for a swap that meets six conditions (next section). It is a practical expedient: no effectiveness testing, and documentation can be completed late.
2. **Regular cash flow hedge with private-company timing relief.** The swap does not meet one condition, for example a floor on the swap that the loan lacks. It can still qualify as a hedge, with effectiveness work that follows the relief timetable.
3. **No hedge accounting.** The swap is marked to fair value through earnings. That is a legitimate choice for a small swap, and the memo should say it was considered.

For this purpose, the term financial institution, as described in ASC 942-320-50-1, includes banks, savings and loan associations, savings banks, credit unions, finance companies and insurance entities (ASU 2014-03). A finance company that borrows to fund its loans therefore cannot use the simplified approach even though it is privately held.

## What are the conditions for the simplified hedge accounting approach?

ASC 815-20-25-137 sets six conditions for a cash flow hedge of a variable-rate borrowing with a receive-variable, pay-fixed swap. All six must hold.

- The variable rate on the swap and on the borrowing use the same index and reset period, and the index need not be a benchmark rate listed in ASC 815-20-25-6A.
- The swap is plain vanilla, with no floor or cap unless the borrowing has a comparable one.
- Repricing and settlement dates match or differ by no more than a few days.
- The swap's fair value at inception is at or near zero.
- The notional amount matches the principal being hedged, which may be less than the whole loan.
- All interest payments on the borrowing during the swap's term are designated as hedged, in total or in proportion.

The condition tests were written when loans reset off LIBOR. A loan and swap that both reset off the same SOFR tenor meet the first condition the same way. Two further points matter to the controller. All other cash flow hedge requirements still apply, and a forward-starting swap qualifies only while the forecasted interest payments remain probable.

A private company using the approach may also measure the swap at settlement value instead of fair value, which leaves out nonperformance risk. Amounts at settlement value are disclosed as such, separately from fair value amounts (ASU 2014-03).

## How soon after entering a swap must hedge documentation be completed?

It depends on which route the swap takes. The table sets out the timetable for a calendar-year private company.

| Route | What is due at inception | What may wait |
| --- | --- | --- |
| General ASC 815 rules | Designation and documentation, including the effectiveness method | The initial quantitative assessment may follow designation but must be done no later than the first quarterly effectiveness test date (ASU 2017-12) |
| Private-company timing relief | Hedging relationship, instrument, hedged item and nature of the risk (ASC 815-20-25-139) | Effectiveness method, initial assessment and quarterly assessments, completed before the next interim or annual statements are available to be issued (25-140, 25-142) |
| Simplified approach | Nothing beyond the trade itself | All documentation, completed by the date the first annual financial statements after inception are available to be issued (25-136) |
| IFRS 9 | Formal designation and documentation, including how effectiveness will be assessed (6.4.1(b)) | Nothing |

Deferred work must still use information as of inception and each quarterly date (25-142). Waiting does not let the company pick the answer after seeing how rates moved. The hedge memo and the calendar of deadlines are the first two deliverables.

## What changed with ASU 2017-12 and ASU 2025-09?

**ASU 2017-12** (August 2017) stopped the separate measurement and reporting of hedge ineffectiveness. For a cash flow hedge, the entire change in fair value of the hedging instrument that is included in the effectiveness assessment is recorded in other comprehensive income and reclassified to earnings, in the same line as the hedged item, when the hedged item affects earnings. It also allows qualitative assessments after an initial quantitative one, verified each quarter, and adds the private-company timing relief above.

**ASU 2025-09** (November 2025) changes five areas: a similar-risk test replaces the shared-risk test for groups of forecasted transactions, a model for choose-your-rate debt, cash flow hedges of nonfinancial forecasted purchases and sales, net written options in compound swaps, and the dual-hedge strategy for foreign-currency debt. It takes effect for public business entities in annual periods beginning after December 15, 2026 and for all other entities in annual periods beginning after December 15, 2027. It applies prospectively, and early adoption is permitted on any date after issuance.

For an importer hedging foreign-currency purchases with forwards, ASU 2017-12 keeps the option to exclude forward points from the effectiveness assessment and recognize their initial value in earnings on a systematic and rational basis over the life of the forward, with the rest of the change in fair value held in other comprehensive income.

Reference rate reform relief under ASC 848 is gone: ASU 2022-06 extended the sunset from December 31, 2022 to December 31, 2024, after which the relief cannot be applied. Documents that still refer to LIBOR need to be updated to the replacement rate and re-papered.

## How does IFRS 9 hedge accounting compare?

IFRS 9 paragraph 6.4.1 qualifies a hedging relationship only when it has eligible instruments and items, formal designation and documentation at inception (including the risk management objective, how effectiveness will be assessed and how the hedge ratio is set), and meets three effectiveness requirements: an economic relationship, credit risk that does not dominate the value changes, and a hedge ratio consistent with the quantity actually hedged. The standard has no numerical range test. Effectiveness is assessed at inception and at least at each reporting date or on a significant change in circumstances (B6.4.12).

There is no IFRS equivalent of the US simplified approach or its deferral of documentation. An IFRS reporter may also keep applying the hedge accounting requirements of IAS 39 as an accounting policy choice (IFRS Foundation).

For a US subsidiary that reports to an IFRS parent, the practical consequence is two designation memos for one swap. One follows ASC 815 and the other follows IFRS 9 or IAS 39, and a short bridge explains why the OCI balances differ. That bridge goes into the monthly [IFRS reporting pack](/services/month-end-close-reporting/ifrs-reporting-packs-us-subsidiaries) the parent receives.

## The process

1. **Read the loan agreement and the swap confirmation**: We extract index, reset dates, notional, floors and caps, trade date and the counterparty's valuation basis.

2. **Test eligibility**: Each of the six simplified-approach conditions is marked met or not met, and the swap is placed in a route with the reason.

3. **Draft the designation memo and deadline calendar**: Risk management objective, hedged item and hedging instrument, with the documentation due date calendared for your controller.

4. **Build the schedules**: Effectiveness assessment where needed, fair value or settlement value by period, OCI roll-forward and the interest expense reclassification entry.

5. **Refresh each quarter**: Qualitative verification or re-test, new valuation mark and the entries for the period.

6. **Draft the disclosures**: Derivative and hedging note and fair value note for management to review and adopt.

## Common problems we fix

| The problem | How we fix it |
| --- | --- |
| The swap was signed in March and nobody documented the hedge | The route test shows whether the simplified approach or the timing relief still gives time, and the deadline goes on the calendar. |
| The swap has a floor the loan does not, which breaks the simplified approach | The swap moves to the regular route with the effectiveness assessment built for it. |
| The counterparty's mark-to-market is booked with no support | A separately calculated valuation or settlement-value calculation is reconciled to the statement and the difference explained. |
| OCI balances stay put after the hedged payments occur | A reclassification schedule moves each period's amount to interest expense in the same line as the hedged interest. |

## Glossary

- **Cash flow hedge**: A hedge of the variability in future cash flows, such as floating-rate interest payments, with changes in the hedging instrument's fair value held in other comprehensive income until the hedged item affects earnings.

- **Simplified hedge accounting approach**: A private-company expedient for qualifying receive-variable, pay-fixed swaps that allows no-ineffectiveness treatment and late documentation.

- **Hedge ineffectiveness**: The extent to which changes in a hedging instrument do not offset changes in the hedged item; ASU 2017-12 stopped reporting it separately.

- **Settlement value**: The value of a swap calculated without adjusting for nonperformance risk; permitted under the simplified approach in place of fair value.

- **Choose-your-rate debt**: Variable-rate debt that lets the borrower change the interest rate index and reset frequency, which ASU 2025-09 addresses with its own hedging model.

## Frequently asked questions: Hedge accounting documentation and effectiveness support under ASC 815 and IFRS 9

**Q: Can a private company use hedge accounting for an interest rate swap?**

A: Yes, if the swap and the documentation meet ASC 815. A private company that is not a financial institution may also use the simplified approach for a plain receive-variable, pay-fixed swap that meets six conditions (ASC 815-20-25-137, checked 2026-10-16). Where the swap does not qualify for it, the timing relief in ASU 2017-12 may still apply.

**Q: What is the simplified hedge accounting approach?**

A: It is a practical expedient from ASU 2014-03 that lets a private company assume no ineffectiveness on a qualifying receive-variable, pay-fixed swap and complete the documentation by the date the first annual financial statements are available to be issued after inception. It is not available to financial institutions, which the FASB defines to include banks, credit unions, finance companies and insurance entities (ASU 2014-03, checked 2026-10-16).

**Q: How soon after entering a swap must hedge documentation be completed?**

A: Under the general rules, at inception, though the initial quantitative assessment may follow by the first quarterly test date. A private company other than a financial institution may finish the effectiveness method and assessments before the next financial statements are available to be issued, and under the simplified approach all documentation is due when the first annual statements after inception are available to be issued (ASU 2017-12, checked 2026-10-16).

**Q: Does ASU 2025-09 change how I account for my existing swap?**

A: Not before its effective date unless you adopt early. It applies to entities other than public business entities in annual periods beginning after December 15, 2027, prospectively; applying it to hedges that exist at adoption is an election, and on adoption an entity may modify certain critical terms of existing hedges without dedesignating them (ASU 2025-09, November 2025, checked 2026-10-16).

**Q: Does IFRS 9 allow the same late documentation?**

A: No. IFRS 9 paragraph 6.4.1(b) requires formal designation and documentation at the inception of the hedging relationship, and it has no equivalent of the US simplified approach. An entity may choose to keep applying IAS 39 hedge accounting as a policy (IFRS Foundation and IFRS 9 text, checked 2026-10-16).

**Q: Does Finbryn advise on whether to hedge or place the trade?**

A: No. Finbryn prepares the analysis, schedules and draft disclosures once management has decided to hedge. Management owns the designation and the conclusion, and the auditor decides whether it is acceptable. Trades are placed with the lender or a bank, not through Finbryn (scope as of 2026-10-16).

**Q: How is this priced?**

A: By the number of swaps or forwards, the route each takes and whether quarterly refreshes are included. The rate card is on the [pricing page](/pricing), and the fee is confirmed in writing before any work starts (reviewed 2026-10-16).
