# Technical accounting and IFRS advisory for US companies

Canonical: https://finbryn.com/us/services/technical-accounting-advisory

Finbryn provides technical accounting and IFRS advisory for US companies facing a one-off transaction: a written ASC or IFRS analysis, calculation schedules and draft disclosures that management reviews and adopts. Checked 2026-10-16: ASU 2023-09 income tax disclosures start for private companies with annual periods beginning after December 15, 2025, so calendar-year 2026 statements.

Technical accounting is the work a monthly close doesn't cover. Your bookkeeper records what happened. Technical accounting decides how a one-off event should be recorded under US GAAP or IFRS, writes the reasoning down and builds the schedules behind it. Think of the SAFE that converts in a priced round, the acquisition that closed in March, the option grant to a new head of engineering, or the goodwill nobody has tested since the deal.

## Who this is for

A controller or CFO at a private, venture-backed or PE-backed company with no technical accounting team. Or the finance lead of a US subsidiary whose foreign parent reports under IFRS. The auditor sends a request list, and one line says "provide management's accounting analysis for" some transaction. That line is where this hub starts.

## What Finbryn prepares

Finbryn prepares the analysis, schedules and draft disclosures for management to review and adopt. Management owns the conclusion and the company's auditor decides whether it is acceptable. Finbryn issues no audit, review or attest report and no valuation opinion.

## How an engagement runs

You send the contracts, board minutes, cap table or valuation report the question rests on. Finbryn writes the issue, the facts, the guidance considered and the conclusion, then the schedules and draft entries. Your controller edits and adopts the memo, and the auditor tests it. Fees are scoped per engagement; see [how we price](/pricing).

## Frequently asked questions: Technical accounting and IFRS advisory for US companies

**Q: Can I outsource technical accounting memos for ASC 718, ASC 805 or convertible notes?**

A: Yes. Finbryn prepares the memo, schedules and draft disclosures, and management reviews and adopts them. The auditor still tests the conclusion. SAS 143 covers audits of periods ending on or after December 15, 2023 (GAO summary, checked 2026-10-16), including indicators of management bias, so the memo documents its inputs. See [accounting position papers](/services/technical-accounting-advisory/technical-accounting-memos-position-papers).

**Q: What is technical accounting and how is it different from bookkeeping?**

A: Bookkeeping records transactions in the ledger. Technical accounting decides how an unusual transaction applies to a standard and documents why. FASB's ASU 2024-01 (March 2024) shows the gap: a bookkeeper enters the grant of a profits interest, while a technical memo decides whether ASC 718 applies to it at all, using four worked fact patterns in the Update.

**Q: Who prepares IFRS reporting for the US subsidiary of a foreign parent?**

A: The subsidiary's controller owns it, and Finbryn prepares the working layer: the US GAAP to IFRS bridge and the parent's template. See [IFRS reporting packs for US subsidiaries](/services/month-end-close-reporting/ifrs-reporting-packs-us-subsidiaries). IFRS 18 replaces IAS 1 for annual periods beginning on or after 1 January 2027 (ifrs.org, checked 2026-10-16), which is why the [IFRS 18 adoption page](/services/technical-accounting-advisory/ifrs-18-adoption-support) matters for 2026 comparatives.

**Q: Does my auditor have to accept a memo written by an outside provider?**

A: The auditor decides what evidence is enough. For SEC filers, 17 CFR 210.2-01(c)(4) (eCFR, checked 2026-10-16) bars the auditor from preparing the financial statements or their source data, so a filer's memo comes from its own staff or someone other than its auditor. A private company follows the AICPA's nonattest rules; ask your auditor.

**Q: Do you provide valuations or fairness opinions?**

A: Finbryn issues no fairness opinion, 409A valuation or valuation opinion. Business, share and intangible values come from management or its valuation specialist. Warrant, swap and bifurcated feature fair values for reporting are a separate engagement under [derivative valuation for financial reporting](/services/credit-loss-derivatives-fair-value/derivative-valuation-financial-reporting). Under ASU 2021-07 (October 2021) a 409A-style valuation can support the option share price input.

**Q: How is technical accounting work priced?**

A: Scoped per engagement. A memo on one SAFE is a smaller job than an acquisition with several intangible classes, so the quote follows the number of instruments, contracts or entities and the state of your records. Finbryn confirms the fee in writing before work starts, in a dated scope sheet naming the standards. See [how we price](/pricing).
