Dormant is a status, not an assumption

A Hong Kong company that has simply stopped trading is not automatically dormant in the eyes of the Companies Registry. Formal dormant status needs the company's own declaration, and until that is filed, the company is still treated as active, which means the statutory audit requirement and the associated filings have not gone away just because there is nothing happening inside the business.

What still has to happen every year

Even once dormant status is declared, the Business Registration Certificate still needs renewing every year, dormant or not. We track that renewal date alongside any registered-office and company-secretarial obligations still owed while the company sits inactive, so a missed renewal does not turn a dormant company into one in bad standing.
