What goes into forming the company
A UK limited company needs a name that clears Companies House's rules, a registered office address, a SIC code describing what the business actually does, and at least one director's details. We prepare this package, checking the SIC code against the business's real activity rather than a generic default, since it shapes how the company shows up in searches and statistics later. The digital incorporation fee is £100.
Confirmation statements, period by period
Every UK company confirms its details at Companies House at least once every 12 months on form CS01, covering the registered office, officers, shareholders and the people-with-significant-control (PSC) register. A confirmation statement is due even when nothing has changed since the last one, and skipping it is one of the more common reasons a company drifts toward being struck off. We reconcile the company's own records against the public register ahead of each deadline and flag anything that has quietly gone stale: a change of address that was never filed, a director who resigned without an update.
The PSC record specifically
The people-with-significant-control register identifies anyone with significant control over the company, as Companies House defines it, and it has to be kept current independently of the confirmation statement's annual rhythm. A share transfer or a new investor changes it immediately, not at the next filing window, so we check it whenever ownership moves rather than waiting for the periodic review.
Fees and who submits the filing
The confirmation statement's digital filing fee is £50. We prepare and reconcile the data; the filing itself is submitted by a company officer directly, or by a UK Authorised Corporate Service Provider where one is engaged, since filing on a client's behalf needs that registration.
Where this connects
Directors and PSC individuals also need to complete Companies House identity verification, covered separately in Companies House ID verification support. Northlane Solutions Inc. is the company you contract with. See the pricing page for how this fits into a monthly engagement.
Questions
Frequently asked questions: UK company formation and confirmation statements
How far ahead of the filing window do you reconcile the PSC register?
Continuously through the year, so ownership changes are already reflected before the confirmation statement window opens rather than caught at the last minute.
What counts as a person with significant control?
Broadly, anyone with significant control over the company, as Companies House defines it. It is a separate record from the confirmation statement and has to be updated as soon as ownership changes.
What happens if a confirmation statement is missed?
Companies House can move toward striking the company off the register after repeated non-compliance, which is a heavier consequence than a late fee. We build the reconciliation into the calendar early enough that this should never come up.
Can you register the company's address as ours?
No, we do not act as the registered office. We help set up and maintain whichever registered office and SIC code fit the business, then keep that record current on the company's behalf.
What information does a confirmation statement actually update?
It confirms your registered office, director and PSC details, shareholder information and SIC codes are current as at the review date, rather than reporting any activity for the year. If a detail has changed, the underlying change must be filed separately before or alongside the confirmation statement itself.
Do you file the confirmation statement for us?
The data is prepared and reviewed here; the filing itself is submitted by a company officer or an authorised filing agent.
What does the confirmation statement actually confirm?
That the company's registered details, officers, shareholders and people with significant control are correct as of the review date, even when nothing has changed since the last one.
Who reviews the work before it reaches us?
Every deliverable under uK company formation and confirmation statements is reviewed by a senior reviewer before it reaches you. You keep access to the underlying file at every stage, so nothing about the work happens somewhere you cannot see it.
What is included in uK company formation and confirmation statements?
UK company formation and confirmation statements covers company structure and officer details prepared ahead of incorporation and registered office and SIC code selection notes prepared for review. The exact scope is agreed and set out in writing before work starts, so you know precisely what is and is not covered before the first deliverable arrives.
