Forming a UK limited company

Setting up a UK limited company means choosing a company name that clears Companies House's rules, a registered office address, a Standard Industrial Classification (SIC) code and at least one director, then submitting those details to Companies House. We gather this information, check it against the company's actual trading plans and prepare the incorporation package for review before anything is submitted. The digital incorporation fee is £100.

Confirmation statements and the PSC register

Once formed, every UK company files a confirmation statement (form CS01) at least once every 12 months, confirming the registered office, officers, shareholders and people with significant control (PSC) are correct, even in a year when nothing has changed. We reconcile the company's actual register against what Companies House holds before each filing window opens, so the statement is a formality rather than a scramble. The digital filing fee is £50.

Identity verification, now mandatory

Companies House identity verification for directors and people with significant control became mandatory from 18 November 2025, with a 12-month transition period for existing role-holders ending 17 November 2026. We check which of a company's officers still need to complete it, prepare the document checklist ahead of the appointment, and track the deadline against the company's other filings so verification does not stall a confirmation statement or a change of director.

Who actually files

Companies House filing on a client's behalf needs UK Authorised Corporate Service Provider (ACSP) status, which requires being UK-based and supervised by an anti-money-laundering body. Finbryn does not hold ACSP status, so confirmation statement data and incorporation paperwork are prepared here and filed by the company's own officer or by an ACSP you appoint. We say this plainly rather than implying a filing role we do not hold.

Do you file our confirmation statement with Companies House?

We prepare and reconcile the data. The filing itself is submitted by a company officer directly, or by a UK Authorised Corporate Service Provider where one is engaged, since filing on a client's behalf needs that registration.

Who needs to complete Companies House identity verification, and by when?

Directors, people with significant control and anyone filing on a company's behalf, each under their own requirement. It is mandatory for new appointments now, and existing role-holders have until 17 November 2026 to complete it.

Can Finbryn act as our registered office?

No. A registered office is a public-facing address on the company's Companies House record, and we do not hold that role. We help you choose and maintain one instead.

What does a UK confirmation statement actually cost?

The digital filing fee is £50. It is separate from any preparation or reconciliation work behind it, and separate again from the £100 digital incorporation fee for forming the company in the first place.

What is outside the scope of business setup and compliance support?

We prepare confirmation statement filings, coordinate identity verification and keep your registers current. We do not act as your company's accountant for statutory accounts, give legal advice on shareholder agreements, or decide who your directors or PSCs should be, since those choices belong to you and your legal adviser.

How far in advance of a filing deadline should we start?

For a routine confirmation statement, four to six weeks gives enough time to reconcile the PSC register and confirm director details before the filing window opens. Identity verification for a new director or PSC should start as soon as the appointment is made, since the process itself can take several working days.

How is pricing structured for company secretarial work?

Pricing depends on how many filings and how many directors or PSCs need identity verification each year, not a single figure for every company. Registered-office coordination, if you use it, is priced separately. The exact scope and cadence are set out in your engagement letter before any filing work starts.

What company information do you need access to?

We need your Companies House authentication code, current PSC and director details, and your registered office address to prepare filings accurately. We do not need access to your bank accounts or accounting software for this service, and any credentials shared are used only for the filing task in hand.
