A Commercial Registration comes first

Every company operating in Saudi Arabia needs a Commercial Registration certificate from the Ministry of Commerce before it can register for tax, Zakat, GOSI or open a corporate bank account. The CR records the company's activity codes, its capital and its owners, and those details flow into every registration that follows, so we gather the activity, ownership and capital details up front and prepare the CR application package for review rather than letting a mismatch surface later at the tax or GOSI stage.

A MISA license where ownership is foreign

A company with foreign ownership, other than through a Saudi or GCC-owned vehicle, generally needs an investment license from the Ministry of Investment before it can obtain its Commercial Registration. We prepare the MISA application package, activity classification and ownership documents for review, and flag where a specific sector needs an additional sector regulator's approval alongside the MISA license itself.

Registering for Zakat, tax and GOSI

Once the CR is issued, the entity still needs a Tax Identification Number and ZATCA registration before it can file a Zakat or tax declaration, plus GOSI registration before its first Saudi or non-Saudi hire starts. We prepare each registration's supporting data from the CR and ownership record, so the sequence runs CR, then MISA where it applies, then ZATCA and GOSI, rather than out of order.

Staying current: CR renewal and Qawaem filings

A Commercial Registration is renewed periodically, and the Ministry of Commerce separately requires audited annual financial statements to be filed electronically through its Qawaem platform, a good-standing condition that sits apart from ZATCA's own Zakat and tax filings. We track CR renewal and the Qawaem filing window on one calendar, alongside the audit engagement a SOCPA-licensed auditor has to complete first, so neither lapses unnoticed.

Who actually submits

This is preparation and coordination work. The CR application, the MISA license and each government registration are submitted by the company's owner, an authorized signatory, or a licensed corporate service provider, since submission on a client's behalf needs that standing. Do you file our Commercial Registration or MISA license application for us?

The application data is prepared and checked here. Submission is handled by the company's owner, an authorized signatory, or a licensed corporate service provider, since filing on a client's behalf needs that standing.

Do we need a MISA license if one of our shareholders is Saudi?

It depends on the ownership structure. A vehicle owned entirely by Saudi or GCC shareholders generally does not need one, while any foreign ownership outside that structure typically triggers the MISA licensing step before the Commercial Registration can be issued.

What happens if the Qawaem filing is missed?

The Ministry of Commerce treats the annual financial statement filing as a good-standing condition separate from ZATCA's Zakat and tax filings, so a missed Qawaem filing can affect the company's standing even when its tax position is otherwise current.

Do you act as our registered agent or authorized signatory?

No. An authorized signatory or corporate service provider is appointed by the company itself. We coordinate with whoever holds that role so filings and renewal dates are tracked, not missed.

Who reviews our filings before they reach us?

Every deliverable under business setup and compliance goes through senior review before it reaches you, and we flag which step still needs a licensed tax agent, a SOCPA-licensed auditor or another credentialed party before it can be finalized.

Can you also register us for GOSI and Mudad?

We prepare the GOSI registration data and the payroll setup needed to run wages through Mudad under the Wage Protection Program, coordinated with the same CR and ownership record used for tax and Zakat registration.
