Commercial Registration comes first

Every company operating in Saudi Arabia needs a Commercial Registration certificate from the Ministry of Commerce before it can register for tax, Zakat, GOSI or open a corporate bank account, and it has to be renewed on a set cycle to stay valid. We track your renewal date alongside your other compliance deadlines so a lapsed Commercial Registration never quietly blocks a bank transaction or a tender submission.

MISA, before the Commercial Registration, for foreign owners

A company owned by a foreign shareholder, other than through a Saudi or GCC vehicle, generally needs an investment licence from the Ministry of Investment before it can obtain its Commercial Registration at all. We prepare the supporting documentation for that MISA application and sequence it ahead of the registration steps that depend on it, rather than discovering the ordering problem partway through.

ZATCA registration and the Zakat certificate

Once the Commercial Registration exists, the entity needs a Tax Identification Number and ZATCA registration before it can file a Zakat or tax declaration at all. We prepare that registration workpaper, and later, we prepare the reconciliation ZATCA checks before it issues a Zakat certificate, which most government tenders and many bank and supplier relationships require on file.

GOSI and WPS, set up once employees start

Once a company hires, it registers with GOSI and starts paying wages through the Wage Protection Program, generally run through the Mudad platform, which checks every registered employee is paid on time and in full. We set up the registration workpapers and the payroll data feed GOSI and Mudad expect, rather than treating payroll registration as an afterthought to the first hire.

What has to happen before a foreign-owned company can register in Saudi Arabia?
