What the formation package covers
Forming a company in Saudi Arabia starts with choosing a legal form, most commonly a limited liability company, an activity code that matches what the business actually does, a registered capital figure and a Commercial Registration application to the Ministry of Commerce. We gather the ownership structure and shareholder documents, check the activity code against the business's real plans, and prepare the CR application for review before it reaches the ministry.
The MISA step for foreign ownership
A company with foreign ownership, other than through a Saudi or GCC-owned vehicle, generally needs an investment license from the Ministry of Investment before its Commercial Registration can be issued. We prepare the MISA application, the activity classification and the supporting ownership documents for review, and flag when the business's specific activity also needs a separate sector regulator's approval alongside the MISA license itself.
Choosing the legal form
A limited liability company suits most closely-held operating businesses; a branch of a foreign company suits an entity that wants to operate under its parent's name without incorporating a separate Saudi legal person. The choice affects capital requirements, liability and how quickly the entity can start trading, so we lay out the trade-offs against the business's actual plans rather than a default answer.
After the CR is issued
Once the Commercial Registration is granted, the entity still needs a Tax Identification Number and ZATCA registration, GOSI registration before its first hire, and a corporate bank account before it can start trading in practice. We hand off into Zakat and tax registration support and the annual filing calendar so nothing sits between CR issuance and the entity actually being ready to operate.
Who submits the application
The CR and MISA applications are submitted by the company's owner, an authorized signatory, or a licensed corporate service provider. Northlane Solutions Inc. is the company you contract with. See the pricing page for how formation support fits into an engagement.
Questions
Frequently asked questions: US LLC formation support
Can a foreign investor own 100% of a Saudi company?
In most activities open to foreign investment, yes, once a MISA license is obtained. A shorter negative list of activities is reserved for Saudi ownership or carries a minimum Saudi shareholding, which we check against the specific activity before choosing a structure.
How long does Saudi company formation take?
A standard limited liability company with straightforward Saudi ownership can move through Commercial Registration in a matter of days once the application is complete. A MISA license or a regulated activity typically adds review time, so we build realistic timelines into the setup plan.
What is included in this support?
Activity classification, ownership structure documentation, and the Commercial Registration and MISA application package prepared for review. The exact scope is agreed and set out in writing before work starts.
Do you handle the office lease or GOSI enrollment needed for the CR?
We prepare the supporting documentation and coordinate the sequence, but the lease itself is signed by the company and GOSI enrollment follows once the CR and first hire are in place, both outside this specific step.
Do you file the formation paperwork with the state?
Formation documents are prepared for your review and filed by you, a registered agent, or a filing service authorized to submit in that state, since the filing itself is a state-level legal act.
Which state should the LLC be formed in?
It depends on where the business actually operates, plans to raise money or hold property; we lay out the cost and reporting trade-offs so the decision is informed, not templated.
