CSRD readiness for US groups with EU operations
Finbryn provides CSRD readiness preparation for US parents and groups with EU subsidiaries, building applicability worksheets and entity data schedules from the group's ledgers for management and EU advisers to approve. Directive (EU) 2026/470 took effect on March 18, 2026, limiting CSRD reporting to undertakings above EUR 450 million of net turnover and an average employee count above 1,000.

CSRD is the EU's Corporate Sustainability Reporting Directive. A US company meets it in one of two ways. Either an EU subsidiary is large enough to report in its own right, or the US parent is a non-EU group with enough EU turnover that its EU subsidiary or branch must publish a group-level report. Directive (EU) 2026/470, known as Omnibus I, changed both tests. It was signed on February 24, 2026, published in the Official Journal on February 26 and has been in force since March 18, 2026.
Group finance teams usually hear about CSRD as a long list of data points. The harder first step is the applicability check, which needs net turnover and employee counts for each EU entity, for the right years, on the definitions of the member state where the entity sits. Getting that worksheet right early decides whether the data collection happens at all.
Finbryn prepares the worksheet and, where the group is in scope, the entity-by-entity data schedules and draft report sections. EU counsel or the group's EU adviser decides applicability, the statutory auditor or another authorised firm gives any assurance opinion, and management approves every page. Finbryn gives no legal advice and provides no assurance.
A US company that is outside CSRD can still be asked for data. An EU customer in scope has to collect value chain information, and the Omnibus changes protect smaller suppliers: a value-chain company with an average employee count of 1,000 or fewer may decline to give a reporting customer information beyond a voluntary standard. The sections below cover the tests, the dates, the data and the division of labor.
Does CSRD apply to a US company?
In most cases only through its EU entities. A US company with no EU subsidiary or branch is generally outside CSRD, and counsel confirms edge cases such as an EU listing. For groups that do have EU entities, three routes exist, using the thresholds in Directive (EU) 2026/470.
| Route | Test | Who publishes |
|---|---|---|
| EU subsidiary on its own | Net turnover above EUR 450 million and an average employee count above 1,000 (Article 19a) | The EU subsidiary |
| EU parent of an EU sub-group | The same two tests on a consolidated basis (Article 29a) | The EU parent undertaking |
| Non-EU group through its EU entity | EU net turnover above EUR 450 million in each of the last two consecutive financial years, and an EU subsidiary above EUR 200 million of net turnover (or a branch above that amount where there is no qualifying subsidiary) (Article 40a) | The EU subsidiary or branch publishes the parent's group-level report |
A subsidiary included in its parent's consolidated management report is generally exempt from reporting separately (Article 19a(9)), and must say so in its own report, naming the parent that reports. Directive (EU) 2022/2464 applies the Article 40a route to financial years starting on or after January 1, 2028, and the Omnibus text does not move that date.
Each member state sets the details when it transposes the directive, so the table is the starting point for a worksheet and not a conclusion. The conclusion belongs to counsel.
What did Omnibus I change, and when?
The Omnibus I package cut the number of companies in scope and moved dates. The ones a US group is most likely to need:
- February 24, 2026: Directive (EU) 2026/470 signed. February 26: published in the Official Journal. March 18: in force.
- March 19, 2027: member states must bring the CSRD amendments into national law (Article 5 of the Omnibus directive).
- Financial years starting on or after January 1, 2027: the second set of reporting undertakings applies, on the new thresholds. Undertakings that were in the first set but fall outside the new scope drop out from that date, and member states may exempt them for financial years beginning between January 1, 2025 and December 31, 2026.
- July 1, 2027: deadline for the Commission to adopt limited assurance standards. The requirement to adopt reasonable assurance standards was removed.
- July 3, 2026: the Commission adopted two delegated acts, one simplifying certain European Sustainability Reporting Standards (ESRS) and one setting voluntary standards for companies protected by the value chain cap (European Commission page, updated July 3, 2026).
The value chain cap matters to US suppliers of EU reporters. Companies in a reporting company's value chain with an average employee count of 1,000 or fewer may decline to provide information beyond the voluntary standard (Article 19a(3), and Article 29a(3) for groups, as amended by Directive (EU) 2026/470; the voluntary standards are those referred to in Article 29ca).
What data does the group have to collect?
A report under CSRD follows the ESRS, set out in Commission Delegated Regulation (EU) 2023/2772: two cross-cutting standards (ESRS 1 and ESRS 2), five environmental standards (climate change, pollution, water and marine resources, biodiversity, and resource use and circular economy), four social standards (own workforce, workers in the value chain, affected communities and consumers) and one on business conduct. The July 3, 2026 delegated act simplifies certain of these standards, so a data request template built in 2024 may need trimming before it goes to a US entity.
Which topics a company reports depends on its double materiality assessment. ESRS 1 asks the company to assess impact materiality (its effect on people and the environment) and financial materiality (sustainability risks and opportunities that affect the company), and to report what is material on either view. That is a management judgment. Finbryn documents the inputs, such as the stakeholder list, the impact list and the scoring basis, and leaves the conclusions to management and the EU adviser.
The climate standard overlaps with a GHG inventory. A US entity that already holds Scope 1 and Scope 2 totals on the GHG Protocol basis has most of the emissions data the group will ask for.
How does Finbryn prepare the group's data?
The work starts from the ledgers Finbryn already works with, because CSRD asks for turnover, headcount and spend by entity.
- Applicability worksheet. Net turnover and average employee counts for each EU entity for the relevant years, with the source for each figure and the definition used, for counsel to read. For a non-EU parent, EU turnover of the group in each of the last two consecutive financial years and each EU subsidiary's turnover.
- Entity data schedules. One schedule per entity mapped to the data requests the group issues, tied to the general ledger or payroll report it came from. The IFRS reporting packs and consolidations work gives the same entity structure.
- Data request pack. A single list for the US parent's finance, HR and operations teams, with owners and the format the EU entity needs.
- Draft sections. Narrative and tables for management and the EU adviser to edit. Nothing is published until they approve it.
Where the information needed for a non-EU group report is not available, Article 40a(2) has the EU subsidiary or branch publish what it holds with a statement that the parent did not supply the rest. A tidy data request pack is the practical defense against having to issue that statement.
What stays with your EU adviser and the assurance provider?
Three things stay outside Finbryn. Legal applicability is for counsel in the relevant member state, because national transposition varies and the first national laws are only due by March 19, 2027. The assurance opinion is for the statutory auditor or another firm authorised to give one. For a non-EU group report under Article 40a(3), the report is published with an assurance opinion from a person or firm authorised under the national law of the third country or of a member state, and if the parent does not provide one, the EU subsidiary states that. Finbryn gives neither the legal conclusion nor the opinion.
The third thing is the materiality conclusions and the sign-off. Finbryn drafts, management decides.
How we work
The process
- 1
Map the EU entities
List every EU subsidiary and branch with its legal form, member state and fiscal year, from the group structure chart.
- 2
Build the applicability worksheet
Net turnover and average employee counts for the relevant years on each entity's own definitions, sourced to the ledger and payroll.
- 3
Hand the worksheet to counsel
Counsel in the member state reads it and decides whether and from which financial year the entity reports.
- 4
Issue the data request pack
One list for the US parent's teams, with owners, formats and the ESRS topic each item feeds.
- 5
Compile entity schedules and draft sections
Schedules tied to ledgers, plus draft narrative for management and the EU adviser to edit.
- 6
Management approves
The group signs off; any assurance opinion comes from the authorised firm the group engages.

Common problems we fix
The problem
How we fix it
- Nobody has checked the thresholds since the Omnibus changesThe worksheet applies the March 18, 2026 thresholds to each EU entity and records the result for counsel.
- The US parent and the EU entity define turnover and headcount differentlyEach figure in the worksheet states its definition and source, so counsel can see which one the member state law uses.
- Data requests reach US teams as a spreadsheet nobody ownsThe request pack names an owner and a format for each item and links it to the ledger or payroll report it comes from.
- Materiality judgments sit in one person's headThe assessment workpapers record inputs, scoring basis and the management decision, with the EU adviser's comments.

Questions
Frequently asked questions: CSRD readiness for US groups with EU operations
Does CSRD apply to US companies?
Only through EU entities. An EU subsidiary reports if it is above EUR 450 million of net turnover and an average number of employees above 1,000 during the financial year, and a non-EU group can be pulled in through its EU subsidiary or branch under Article 40a, for financial years starting on or after January 1, 2028. Counsel in the member state decides.
What are the CSRD thresholds after the Omnibus?
Directive (EU) 2026/470, in force since March 18, 2026, limits reporting at undertaking and group level to those above EUR 450 million net turnover and an average employee count above 1,000. For a non-EU group, the test is more than EUR 450 million of EU turnover in each of the last two consecutive financial years and an EU subsidiary or branch above EUR 200 million.
How does a US parent report under CSRD through its EU subsidiary?
Under Article 40a, the EU subsidiary or branch publishes a group-level sustainability report of the ultimate non-EU parent, for financial years starting on or after January 1, 2028, with an assurance opinion where one is available. If the parent does not supply the information, the EU entity publishes what it holds and states that the rest was not provided.
Does an EU subsidiary still report if its US parent already reports?
A subsidiary included in its parent's consolidated management report is generally exempt under Article 19a(9), but it has to name the reporting parent and link to the report. Member states must transpose the Omnibus amendments by March 19, 2027, so the EU adviser confirms the national detail before the exemption is relied on.
Which reporting standards does a CSRD report use?
The ESRS in Delegated Regulation (EU) 2023/2772, as simplified by a delegated act the Commission adopted on July 3, 2026. A non-EU group report under Article 40a may use the standards adopted for non-EU groups, the ESRS or an equivalent standard.
Does Finbryn give legal advice or assurance on CSRD?
No. Finbryn prepares worksheets, data schedules and draft sections for management and EU advisers to approve. Legal conclusions come from counsel and any assurance opinion comes from an authorised firm the group engages, under limited assurance standards the Commission is due to adopt by July 1, 2027.
How is CSRD readiness work priced?
As of 2026-10-16, per engagement, from the number of EU entities and the condition of their data. The pricing page shows the monthly tiers; the fee for this work is confirmed in writing first.
