Real estate syndicators

Short answer

Finbryn provides bookkeeping for sponsors of deal-by-deal real estate syndications, keeping separate books for each property entity and tying investor capital accounts and distributions to the operating agreement. At year end the sponsor's credentialed preparer receives a K-1 data pack built from those books.

Where the books usually hurt

  • Every deal is its own entity, and the books for each live in a different file with different conventions

  • Investor capital accounts are kept in a side spreadsheet that drifts from the ledger

  • Distributions are paid by hand and rarely tied back to the waterfall in the operating agreement

  • K-1 data is assembled in a scramble after year end

One deal, one entity, one set of books

A sponsor with six single-property syndications really has six companies, each with its own bank account, loan, investors and tax return. Finbryn keeps a ledger for each entity on a common chart of accounts, so rent, operating cost, debt service and capital spend read the same way across deals. A combined view for the sponsor shows the portfolio. This page covers deal-by-deal syndications only; pooled funds are outside what we do.

Capital accounts and the waterfall

Each investor has contributions, distributions, a preferred return and a share of profit, all defined in the operating agreement. We maintain capital accounts by investor from the ledger, and recompute each distribution from the waterfall terms your counsel wrote, such as preferred return, return of capital and promote tiers, then tie it to the cash that left the bank. If the numbers disagree, you get a list of differences, not a quiet adjustment. The waterfall model and its terms belong to you and your attorney.

We do not hold investor money, move funds or communicate with investors. The sponsor issues investor statements and distributions. We supply the schedules behind them from AppFolio Investment Manager, Juniper Square, InvestNext or your spreadsheet.

Property-level detail

Rent roll and property-level reports from Yardi, AppFolio or your property manager are matched to the ledger monthly. Loan interest and escrow balances are reconciled to lender statements, and capital improvements go into a fixed-asset schedule. If you plan a cost segregation study, a specialist runs it; we pass along the schedule.

K-1 data pack

Syndication entities typically file Form 1065 with a Schedule K-1 per partner, due March 15 for calendar-year partnerships (IRS Form 1065 instructions). We deliver the trial balance, partner capital rollforward, book-to-tax schedule inputs and distribution detail, in the layout your credentialed preparer asks for. The preparer prepares, signs and files the returns.

Working with Finbryn

You keep each entity's file. A named pod handles the account on an agreed monthly close calendar. Sponsors with old deals in disarray start with a catch-up project, then multi-entity accounting. Pricing is on the pricing page. Landlords holding property directly should see real estate and property management.

Questions

Frequently asked questions: Real estate syndicators

Do you administer our offerings or hold investor money?

No. We do bookkeeping and supporting schedules. The sponsor holds the accounts, makes distributions and issues investor statements. Checked 2026-10-09.

Do you prepare K-1s?

We prepare the data pack: trial balance, capital rollforward and distribution detail. Your credentialed preparer prepares, signs and files Form 1065 and the K-1s.

Can you work with pooled funds?

No. We work with deal-by-deal syndications, one entity per property.

Who owns the waterfall?

You and your attorney. We recompute distributions from the terms you supply and report any difference to cash paid.

Which investor platforms do you work with?

AppFolio Investment Manager, Juniper Square and InvestNext reports, plus QuickBooks Online for the ledgers.

Do you keep separate books for each syndication entity?

Yes. Each single-property entity gets its own ledger, with a combined view for the sponsor.

Can you check distributions against the operating agreement waterfall?

Yes. We recompute each distribution from the waterfall terms you supply and tie the result to cash paid and to capital accounts.

What are the common bookkeeping challenges for a syndicator?

Separate books per entity, capital accounts that drift from the ledger and last-minute K-1 data come up most. We build the close and year-end pack around them.

What software do you support for syndicators?

We work inside QuickBooks Online alongside AppFolio Investment Manager, Juniper Square and InvestNext, using their capital account and distribution reports. If you have no file yet, we set one up per entity.
