Form 1065 and 1120-S late filing penalty calculator
A late Form 1065 or Form 1120-S costs $255 for each partner or shareholder for each month or part of a month it is late, up to 12 months, on returns due in 2026 ($260 for returns due in 2027). Enter the number of owners and the months late to see the total. Interest and other penalties are extra.
An estimate of the per-owner late-filing penalty only, from the IRS rates checked on the date below. Not tax advice, and the IRS decides every penalty and every request for relief.
The rate follows the year the return was required to be filed, counting any extension. Use the year of the due date, not the tax year.
Count everyone who was a partner at any time in the year, including someone who left or joined mid-year.
How late is it?
Each month or part of a month counts. 0 means it was filed on time.
$3,060
$255 x 4 partners x 3 months = $3,060 ($1,020 a month)
This estimates only the per-partner late-filing penalty. It leaves out interest, any late-payment penalty, and the separate Schedule K-1 penalties. The IRS can reduce or remove the penalty for reasonable cause, and may offer first-time abatement to a filer with a clean three-year record. That is the IRS's decision on your facts, and nothing here promises it. An estimate, not tax advice.
Worked example
A calendar-year partnership with four partners misses the March 16, 2026 due date for its 2025 Form 1065 and has no extension. It files on June 22, 2026. Counting from the due date, April 16, May 16 and June 16 close three months, and June 22 starts a fourth, so the return is 4 months late.
For a return due in 2026 the rate is $255. The penalty is $255 x 4 partners x 4 months = $4,080. Had it filed 14 months late, the penalty would still stop at 12 months: $255 x 4 x 12 = $12,240.
Questions
Frequently asked questions
What is the penalty for filing Form 1065 late?
For a partnership return required to be filed in 2026, it is $255 for each month or part of a month the return is late, up to 12 months, multiplied by the number of persons who were partners at any time during the tax year. The rate was $245 for returns due in 2025 and is $260 for returns due in 2027. It applies when the return is filed after the due date, extensions included, or is missing required information.
What is the late filing penalty for an S corporation?
The same per-shareholder amount applies to Form 1120-S: $255 for each shareholder for each month or part of a month, up to 12 months, for returns due in 2026. If tax is due, the IRS adds a percentage of the unpaid tax for each month the return is late, so the total can be higher than this calculator shows.
How many months does the late filing penalty run?
A maximum of 12. Each month or part of a month counts as a full month, counted from the due date including any extension filed on time. A return one day late is one month late. A Form 7004 extension filed on time moves the due date out, so the clock starts later.
Does a partner who left during the year count toward the penalty?
Yes. The IRS multiplies by everyone who was a partner, or a shareholder for an S corporation, at any time during the tax year the return covers. A person who joined or left mid-year is counted once, the same as someone who was there all year.
Can the Form 1065 or 1120-S late filing penalty be waived?
Sometimes. The IRS lists both penalties among those eligible for first-time abatement for a filer with three years of timely compliance, and it is moving that relief to an automatic exemption for 2025 returns and later, naming Form 1065 among the eligible returns. A filer who does not qualify can ask for relief for reasonable cause. The IRS decides, so file as soon as you can rather than waiting on a relief decision.
Is the Schedule K-1 penalty part of this?
No. Failing to furnish a correct Schedule K-1 to a partner or shareholder on time has its own penalty, $340 per Schedule K-1 for statements due in 2026 and 2027. It is added on top of the late-filing penalty and is not included in this calculator.
