Internal audit and risk
Enterprise risk management support using COSO ERM and ISO 31000
Finbryn provides enterprise risk management support for CEOs, CFOs and boards of mid-sized companies, PE-backed businesses and nonprofits that have never run a formal risk process, leading workshops and preparing a risk register, scoring scale and board paper on COSO's ERM framework (June 2017 edition). Management and the board own the risks, and Finbryn issues no assurance report.

Illustrative. An example of the document, not a client's figures.
Many companies manage risk well in the head of the founder or the CFO and badly on paper. The first formal step is rarely a software tool. It is a list of the events that could stop the business reaching its objectives, who owns each one, how bad it would be and what is being done about it. That list is a risk register. A one-page statement of how much risk the board will accept in pursuit of its objectives is the risk appetite.
COSO's 2017 framework, Enterprise Risk Management: Integrating with Strategy and Performance, has five components and twenty principles. Its Principle 7 has the organization define risk appetite, and its Principle 14 has it develop a portfolio view of risk. ISO 31000:2018 gives guidelines on principles, a framework and a process, and ISO states it cannot be used for certification. A mid-sized company can pick one as its working vocabulary and borrow from the other.
Finbryn runs two or three workshops with the leadership team, drafts the register, proposes a scoring scale for impact and likelihood and writes a short board paper the audit committee can act on. The register is then reviewed on a calendar so it does not go stale, and it lives in a spreadsheet the owners can open, with no new software to buy. It feeds the risk-based internal audit plan, because the highest-rated risks are where audit time goes first.
The register belongs to management and the board. Finbryn runs the workshops and drafts. It does not manage the company's risks, give legal advice or issue any assurance report.
COSO ERM or ISO 31000: which should a mid-sized company use?
Either works if it is used consistently. The table compares what each one is, so the choice can rest on fit instead of habit.

Companies whose auditors and lenders already work from COSO's internal control framework often keep COSO ERM for consistency. Companies whose customers or regulators ask about ISO 31000 use its process and keep the register in the same format. ISO states that ISO 31000 cannot be used for certification, so a claim of being ISO 31000 certified on a customer questionnaire is wrong and should be corrected, not repeated.
How do you build the risk register?
A register row has the same few fields for every risk. Keeping them identical is what lets the board compare a cyber risk with a customer concentration risk.
- A risk statement in the form cause, event, consequence (for example: because two customers hold most of the receivables, a late payment from either could breach a loan covenant).
- The objective the risk threatens and the owner, a named executive.
- Impact and likelihood scores on the agreed scale, before and after the controls that exist.
- The response: accept, reduce, transfer or avoid, with the action and the date.
- One or two key risk indicators, such as days sales outstanding or the number of unreconciled items, that give early warning.
- The date the risk was last reviewed and the date of the next review.
The first workshop produces a long list of candidate risks. The second merges them into a register of a size the board can read. Finbryn drafts, the leadership team edits, and no risk goes into the register without an owner who agreed to it.
What goes in a risk appetite statement?
COSO's Principle 7 says the organization defines risk appetite in the context of creating, preserving and realizing value. For a mid-sized company that becomes a one-page statement the board approves, written in measures the leadership team can act on. It might say that cash will not fall below a stated number of weeks of payroll, that no single customer will exceed a stated share of revenue, that the company will not enter a market without a feasibility study, or that any breach of a loan covenant goes to the board in the same week.
The statement is useful only if it can be breached. A statement such as "we have low appetite for risk" cannot be tested, while "cash cover below the stated floor is reported to the board within the week" can be. Finbryn drafts the statement from the workshop and the register, the board changes it, and it is reviewed with the register each year. The measures usually line up with the covenants in your lender covenant reporting, if you have one.
What does the board see?
The board paper is two pages: the top risks and how each has moved since last time, the key risk indicators against their thresholds, the actions that are overdue and one or two decisions the board is asked to make. A heat map of impact against likelihood helps a reader see the shape at a glance, as long as the scores underneath have reasons attached.
For a company that may list, the same paper builds the habit that disclosure rewards. Item 407(h) of SEC Regulation S-K requires a registrant to describe the board's role in the oversight of risk, including how the board administers that function and how it relates to the board's leadership structure. A board that already reviews a register has something to describe. The board reporting pack guide shows how the risk paper sits beside the financial pages.
Internal audit evaluates this process and should not run it. If Finbryn ran your risk workshops or keeps the register current, our independence policy keeps risk management itself off any internal audit plan we support until the chief audit executive confirms, as Standard 2.2 requires, that the earlier advisory work does not impair objectivity. If the same person leads both, Standard 7.1 of the Global Internal Audit Standards requires alternative arrangements for objective assurance over the area where the chief audit executive has the other role.
How does risk management connect to internal audit?
The register and the audit plan answer different questions. The register asks what could stop the business from reaching its objectives. The audit plan asks which of those risks to test this year, and how. Standard 9.1 of the Global Internal Audit Standards requires the chief audit executive to understand how the organization identifies and assesses significant risks and selects control processes before building the plan, so a register that exists makes that step faster.
When there is no register, the first internal audit plan includes a risk assessment of its own. That still works, but it covers fewer risks than a register built with the whole leadership team and it stops at the audit universe. When there is a register, the audit plan starts from its top-rated risks, adds areas the register does not cover and reports back on whether the controls named in the register operate. Both pages are written to be used together: see co-sourced internal audit for who performs the testing.
What does Finbryn not do in risk management?
Finbryn runs risk workshops and prepares the risk register, scoring and board reporting for management and the board to own. Finbryn does not manage risk for the company, give legal advice or issue any assurance report. It does not rate a risk as acceptable on the board's behalf, and it does not provide the opinion on internal control that a lender or regulator might request.
This is risk management support. It is not an audit, review, compilation or attestation, and Finbryn gives no opinion on financial statements or internal control.
Insurance purchasing, legal exposure and regulated risk such as bank capital are outside the scope. Where a risk needs a specialist, the register names the specialist as the response.
How we work
The process
- 1
Kick-off with the sponsor
We agree who sponsors the work, which framework will be the vocabulary and which leaders will join the workshops.
- 2
First workshop
The leadership team lists the events that could stop the company reaching its objectives and names an owner for each.
- 3
Draft register and scoring scale
We merge the list, write each risk as cause, event and consequence and propose a scale the team agrees before scoring.
- 4
Second workshop and scoring
Leaders score impact and likelihood, then discuss the gaps and set responses and indicators.
- 5
Risk appetite statement and board paper
A one-page appetite statement and a two-page paper go to the board for changes and approval.
- 6
Review calendar
Each risk is reviewed on a set date, and the register is refreshed at least once a year.

Common problems we fix
The problem
How we fix it
- Risks live in the heads of two executives and nothing is written downA register records each risk, its owner, its score and its response, so the board can read the same list the executives use.
- Every risk is rated high, so nothing stands outA scoring scale with definitions in dollars and days, agreed before scoring, separates the few risks that need board time.
- The risk appetite is a sentence nobody can testThe statement uses measures such as cash cover or customer concentration, with a rule for who is told when a limit is crossed.
- The register is built once and never revisitedEach risk carries a next review date, and the board paper shows which reviews are overdue.

Questions
Frequently asked questions: Enterprise risk management support using COSO ERM and ISO 31000
How do you build an enterprise risk register?
Run a workshop with the leadership team, list the events that could stop the company reaching its objectives, write each as cause, event and consequence, then give each an owner, impact and likelihood scores, existing controls, a response and a review date. COSO's 2017 framework has five components and twenty principles to guide the content; the register is the working record of them (executive summary June 2017, checked 2026-10-16).
What is the difference between COSO ERM and ISO 31000?
COSO ERM (June 2017) is organized into five components and twenty principles and is published by COSO. ISO 31000:2018 gives principles, a framework and a process, and ISO says it cannot be used for certification. ISO last reviewed and confirmed the 2018 edition in 2023. The two overlap heavily, so a company can use either vocabulary (ISO page checked 2026-10-16).
Does a mid-sized company need an ERM program?
No rule requires it for a private company. The case is practical: a lender, investor or board wants to know the biggest risks, who owns them and what is being done. A company planning a listing has a further reason, because SEC Regulation S-K Item 407(h) requires registrants to describe the board's role in risk oversight (eCFR text checked 2026-10-16).
Who owns the risks, management or Finbryn?
Management and the board. Finbryn runs the workshops, drafts the register, scoring scale and board paper, and keeps them current on the review calendar, but each risk has a named executive owner and the board approves the appetite statement. COSO's June 2017 framework puts risk oversight with the board in Principle 1. Finbryn does not manage the company's risks or issue an assurance report.
How often should the risk register be reviewed?
Each risk on its own date, and the whole register at least once a year. A fast-changing company reviews its top risks every quarter alongside the board meeting. The internal audit standards expect the audit plan to follow changes in risk, which the Standards say can mean updates as often as every six months or quarterly (Standards effective January 9, 2025).
Can a company be ISO 31000 certified?
No. ISO states that ISO 31000 provides guidelines and cannot be used for certification purposes, though it can guide internal or external audit programs. A claim of ISO 31000 certification on a questionnaire is inaccurate. A company can say it applies ISO 31000 guidelines (ISO page checked 2026-10-16).
