What are Form W-2 and Form W-3, and who files them?
Form W-2 reports one employee's wages and withholding for the calendar year. Form W-3 is the transmittal that totals every W-2 and goes to the Social Security Administration (SSA) with Copy A, so anyone who files W-2s files one W-3. The SSA uses the forms to credit earnings, and the IRS and the SSA check them against your Forms 941. The employee gets Copies B, C and 2, and a state or local tax department may want Copy 1.
The employer files, even when a payroll provider produces the forms. Report wages for the year they were paid. If an employee worked December 13 to December 26, 2026 and was paid on January 1, 2027, those wages belong on the 2027 form. Household employers file a W-3 too, even with one employee.
When is Form W-2 due for 2025 and 2026 wages?
The date to give employees their copies and the date to file Copy A and Form W-3 with the SSA are the same. It's January 31, moved to the next business day when that lands on a weekend.
| Wage year | Due to employees and the SSA |
|---|---|
| 2025 | Monday, February 2, 2026 |
| 2026 | Monday, February 1, 2027 (January 31 is a Sunday) |
Extensions to file with the SSA aren't automatic. You can request one 30-day extension on Form 8809 before the due date, and the IRS grants it only for extraordinary circumstances or catastrophe, such as a fire that destroys your payroll records. It doesn't move the employee deadline. A separate Form 15397 asks for more time to furnish employee copies, generally no more than 15 days, or up to 30 when the need is shown.
An employee who leaves early can get the form any time after employment ends, and no later than February 1, 2027. If they ask for it, give it within 30 days of the request or the final wage payment, whichever is later.
Do you have to e-file Form W-2?
Yes, once you file 10 or more information returns in total. Add your W-2s to your 1099s, 1042-S, 1095-C and the other forms on the IRS list. Corrections are counted separately. At 10 or more, every one of them is e-filed.
Illustrative example. A contractor with seven employees who also issues four Forms 1099-NEC files 7 + 4 = 11 information returns, so the W-2s and the 1099s are both e-filed.
W-2s go to the SSA, not the IRS, through its Business Services Online (BSO) site. BSO can create up to 50 W-2s online, builds the W-3 for you, and takes larger batches as an uploaded file. New users should allow at least two weeks to register. If you can't e-file, a waiver request on Form 8508 must reach the IRS at least 45 days before the due date.
Paper filers send red-ink Copy A and Form W-3 to the SSA's Direct Operations Center in Wilkes-Barre, PA 18769-0001, flat, not stapled or folded. Copy A printed from IRS.gov isn't accepted. Form 1096 isn't used for W-2s: the W-3 is their cover sheet, while paper 1099s travel to the IRS with a Form 1096.
How should Form W-3 agree with your Forms 941?
The IRS tells employers to reconcile boxes 2, 3, 5 and 7 of the W-3 with the year's totals from the four Forms 941. The Social Security and Medicare tax on the 941s, which includes the employer share, should run about twice W-3 boxes 4 and 6. When the two sets disagree, the IRS and the SSA may contact you.
Illustrative example. An employer paid $182,000 of wages, all below the Social Security wage base.
| W-3 box | W-3 amount | Four Forms 941, yearly total | Relationship |
|---|---|---|---|
| 3 Social Security wages | $182,000 | Line 5a column 1: $182,000 | Equal |
| 5 Medicare wages and tips | $182,000 | Line 5c column 1: $182,000 | Equal |
| 4 Social Security tax withheld | $11,284 | Line 5a column 2: $22,568 | About twice |
| 6 Medicare tax withheld | $2,639 | Line 5c column 2: $5,278 | About twice |
Common causes of a gap are bonuses missing from one form, tax reported in the wrong box, and Social Security wages above the $184,500 wage base for 2026. Keep the reconciliation on file. The Form 941 page explains the quarterly side.
What is new on the 2026 Form W-2?
Four changes matter to restaurants and trades. Box 14 is split into 14a (Other) and 14b, which carries the Treasury Tipped Occupation Code. Box 12 gets code TP for the total cash tips reported to the employer, with the occupation code in 14b. Code TT reports qualified overtime, meaning only the half in time-and-a-half. Code TA reports employer contributions to a Trump account, which employers may make from July 4, 2026.
The codes feed two employee deductions for tax years beginning after 2024 and before 2029: up to $25,000 of qualified tips and up to $12,500 of qualified overtime ($25,000 if married filing jointly). Tips and overtime are generally still subject to withholding and payroll taxes.
Two more items. Employee state paid family and medical leave contributions, and any employer payment of them, are W-2 wages. And for wages paid after 2025, the reporting threshold for pay with no income, Social Security or Medicare tax withheld rises from $600 to $2,000, indexed after 2026. Ask your payroll provider whether its 2026 W-2 output fills TP, TT and box 14b.
How do you correct a Form W-2?
What you do depends on when you find the error.
- Before Copy A goes to the SSA. Check the VOID box on Copy A of the wrong form, prepare a new one and send Copy A. Write CORRECTED on the employee's new copies, but not on Copy A.
- After filing. File Form W-2c and a Form W-3c with the SSA as soon as you find the error, and give the employee the corrected copy. If the original had to be e-filed, so must the W-2c.
- Name or SSN only. Complete boxes d through i of the W-2c and leave boxes 1 through 20 blank.
- Address only. Don't file a W-2c just to fix an address.
- Wrong year or EIN. Prepare two sets of W-2c and W-3c, one zeroing the wrong entry and one reporting the right one.
- Dollar amounts. An error of $100 or less, or $25 or less in tax withheld, needs no correction unless the employee asks for one.
A correction can also change a quarterly return. If it does, fix that quarter on Form 941-X, not on the W-2c.
What does a late or wrong Form W-2 cost?
The penalty is per form and depends on how late the correct form arrives. It also applies if you file on paper when you had to e-file, report a wrong or missing TIN, or leave out required information. The per-form amounts are the same for returns due in 2026 and in 2027. The yearly caps rise for 2027.
| Correct form filed | Per form | Yearly cap, 2025 W-2s filed in 2026 | Yearly cap, 2026 W-2s filed in 2027 |
|---|---|---|---|
| Within 30 days of the due date | $60 | $683,000 ($239,000 small business) | $698,500 ($244,500 small business) |
| After 30 days, by August 1 | $130 | $2,049,000 ($683,000) | $2,095,500 ($698,500) |
| After August 1, or never filed | $340 | $4,098,500 ($1,366,000) | $4,191,500 ($1,397,000) |
A small business averages $5 million or less in gross receipts over three years. Intentional disregard costs at least $680 a form for 2026 filings and $690 for 2027, with no cap. Late or wrong employee copies draw a separate penalty on the same schedule. Reasonable cause removes the penalty, and a form filed on time with errors and corrected by August 1 escapes it for the greater of 10 forms or half of 1% of your returns.
Illustrative example. A restaurant with 40 W-2s files 20 days late: 40 x $60 = $2,400. Filed 45 days late: 40 x $130 = $5,200. Filed after August 1: 40 x $340 = $13,600, before any penalty for the employee copies.
What is the difference between Form W-2 and Form 1099-NEC?
Employees get a W-2 with tax withheld. Independent contractors paid $2,000 or more in 2026 get a Form 1099-NEC with nothing withheld, and both are due Monday, February 1, 2027. The IRS decides which one applies by looking at three groups of facts: behavioral control, financial control and the type of relationship. A contract that says contractor doesn't settle it, and no single factor decides it alone. A worker who is really an employee but is paid on a 1099 never reaches your Form 941 or your W-3. The threshold and the contractor rules are in the Form 1099 guide.
Who signs Form W-3, and who can file for the employer?
Nobody signs a Form W-2. The employer signs the W-3, or uses its PIN when e-filing. A transmitter, service bureau, reporting agent or paying agent can sign or use its PIN for the employer only if it has authority under an agency agreement that is valid under state law, and on a paper W-3 it writes "For (name of payer)" next to the signature. The employer's name and EIN on the W-2 and W-3 must match those on its Form 941.
Using a provider doesn't move the responsibility. The IRS instructions say the employer remains responsible for furnishing W-2s and for filing them correctly and on time, even when a third party does the work, and they suggest that the employer's address, not the provider's, be the address of record.
Where does Finbryn fit with Form W-2?
Finbryn doesn't file W-2s or W-3s, sign them or send them to the SSA. Your payroll provider or you file, and the employer signs the W-3. Finbryn does the check before the forms go out.
Starting in December, the year's payroll journals are reconciled to the payroll platform's year-end report. W-2 totals for boxes 1, 3 and 5 are compared with the four Forms 941. Employee names, SSNs and addresses are checked against the platform's records, and the new TP, TT and box 14b entries are checked for restaurant and trade payrolls. Finbryn prepares a draft W-2 and W-3 data check for your review, and any variance is traced to its source.
The same tie-out is what a premium audit asks you to show. Travelers' premium audit page, checked October 19, 2026, asks for the federal 941, state unemployment wage reports and 1099s. Finbryn organizes those records. Your carrier sets the premium, and Finbryn doesn't sell or advise on insurance. See payroll journals and reconciliations.
What mistakes are easy to make on Form W-2?
These slips cause rejections, processing delays or notices.
- Medicare wages below Social Security wages. The SSA rejects a report where box 5 is less than boxes 3 plus 7, or where tax is reported with zero wages.
- Tax in the wrong box. Social Security tax belongs in box 4 and Medicare tax in box 6.
- Social Security wages above $184,500 for one employee in 2026.
- A name or EIN that differs from Form 941.
- Truncating the wrong number. An employee's SSN may be truncated on employee copies, never on Copy A, and the EIN is never truncated.
- An ITIN in box a. Don't accept an ITIN in place of an SSN.
- Filing both ways. If you e-file, don't also send paper.
- Printing Copy A from IRS.gov. The SSA won't scan it, and a penalty can follow.
Questions
Frequently asked questions
When is Form W-2 and W-3 due?
Forms W-2 for 2026 wages are due to employees and, with Form W-3, to the SSA by Monday, February 1, 2027, on paper or electronically. For 2025 wages the date was February 2, 2026. An extension to file isn't automatic: one 30-day extension on Form 8809, for extraordinary circumstances, and it doesn't extend the employee deadline.
How do you file Form W-2 and W-3?
E-file with the SSA through Business Services Online, which builds the W-3 for you. Filing 10 or more information returns in total, W-2s and 1099s together, makes e-filing mandatory. With fewer than 10, paper Copy A and Form W-3 go to the SSA in Wilkes-Barre, PA 18769-0001. Register for BSO at least two weeks ahead. Checked October 19, 2026.
What is the difference between Form W-2 and Form 1099-NEC?
Employees get a Form W-2 with tax withheld, while contractors paid $2,000 or more in 2026 get a Form 1099-NEC with nothing withheld. Both are due February 1, 2027. The IRS tests behavioral control, financial control and the type of relationship, and a contract label doesn't decide it. See the Form 1099 guide.
Where are the current instructions and PDF for Form W-2 and W-3?
Both are on IRS.gov under About Form W-2. The 2026 instructions were last reviewed April 30, 2026. Copy A can't be printed from the site and filed. Order official red-ink sets at IRS.gov/OrderForms or e-file instead.
What changes for Form W-2 and W-3 in 2026?
Box 14 splits into 14a and 14b, and box 12 gains codes TP for cash tips, TT for qualified overtime and TA for employer Trump account contributions. Box 14b carries the Treasury Tipped Occupation Code. The no-withholding reporting threshold rises to $2,000 for wages paid after 2025. Checked October 19, 2026.
What is the penalty for filing Form W-2 late?
For 2026 W-2s due February 1, 2027, it's $60 a form if corrected within 30 days, $130 by August 1 and $340 after that, with a top yearly cap of $4,191,500 ($1,397,000 for a small business). The per-form amounts matched those for 2025 W-2s. Intentional disregard starts at $690 a form. Late employee copies draw a separate penalty.
How do you correct a Form W-2?
File Form W-2c with a Form W-3c as soon as you find the error, and give the employee the corrected copy. Before Copy A goes to the SSA, mark the wrong form VOID and issue a new one instead. A dollar error of $100 or less, or $25 or less of withholding, needs no correction unless the employee asks. Checked October 19, 2026.
